Constitution and Bylaws of the Palmetto Corvette Club

ARTICLE I.

 

            Section 1:        NAME: 

 

The name of the Club shall be Palmetto Corvette Club. The

                                    term “Club” shall reference the Palmetto Corvette Club.

 

Section 2:        PURPOSE:

 

The general purpose of the Club shall be to encourage

planned trips, events and social activities for the members of the Palmetto Corvette Club, to promote increased interest in the history and ownership of the corvette and to encourage careful and skillful driving on public highways. To support the local community and specific charitable organizations as identified by the Club Officers.

 

ARTICLE II.

 

            Section 1:        MEMBERSHIP AND DUES

                            

A.      Ownership of a Corvette is required to be eligible for membership.

 

B.       Single or Couple membership only requires ownership of 1 Corvette.

 

C.     Each individual who is a member of the Club is, by virtue of these Bylaws, entitled to all the benefits of membership.

 

D.     Membership in the Club shall be made available without

regard to race, color, creed or national origin, under such

rules and regulations, not in conflict with the provisions of these Bylaws to any individual who subscribes to the purpose and goals of the club.

 

E.    Members shall be of legal age eighteen (18)

 

F.     DUES are $15.00 per single membership and $25.00 per couple. Dues for new members shall be pro-rated on the number of remaining months. Dues are per calendar year and payable in October. Annual dues shall be established by the Clubs officers and all changes shall be voted on by the membership.

 

G.      The Fiscal year shall be from January 1st to December 31st.

 

H.  Membership must be renewed within sixty (60) days of the

      new fiscal year to retain in good standing.

 

 

Section 2:         CLASSES OF MEMBERSHIP

 

 Active members are any person or persons having paid such annual dues and fees as required. Each member with paid membership shall have a vote. A paid couple shall constitute two (2) votes.

 

           A.     Charter

 

All members who pay their dues by October 31st of the current

year will be considered Charter Members of the Club.

 

            B.     Honorary

 

 A person who has commended themselves to Club esteem or who

 may be elected by the majority of vote of the members present.

 There are no dues associated with an honorary membership.

 

            C.    Associate or Sponsor

 

      Any person or company that gives special consideration or gifts to the benefit of the Club. (Must be approved by the majority of membership attending meeting and reviewed yearly.)

 

           D.     Honorary or Associate Members or Sponsors are entitled to all

            Club privileges except that they shall not have the right to vote or

Hold office.

 

 

Section 3:        EXPULSIONS

 

                                    Membership shall be automatically lapsed for non payment of dues

After ninety (90) days from the due date. Any member may be expelled for infraction of the Clubs rules, or such other causes as may be determined by the majority of the officers as being in the best interest of the Club. However, before such action is taken, the member shall have the opportunity to submit in writing, or in person his or her position on any change of which he or she will be notified.

 

 

 

Section 4:        DISCONTINUANCE OF THE CLUB

 

If this Club disbands, any remaining assets shall be donated to an appropriate charity to be decided upon by the general membership.

  

                                   

ARTICLE III

 

Section 1:        ANNUAL MEETING

 

                                    The Annual meeting of the members shall be called by the President.

Election of officers and committees and such business as lawfully may come before the meeting.

 

Section 2:        REGULAR MEETINGS

 

                        Regular meetings shall be held as posted on the official Club website

 

Section 3:        SPECIAL MEETINGS

 

In addition to any provisions of the Bylaws, special meeting of the members may be called by the President or a majority of the Officers.

 

Section 4:        NOTICE OF MEETINGS

 

Notice of regular meetings stating the place, day and hour shall be placed on the Clubs website, palmettocorvetteclub.com

 

Section 5:        QUORUM

 

 At all stated meetings of the membership one fourth of the active members shall constitute a quorum.

 

Section 6:        VOTING

 

                                    All action, shall be by the majority of those present voting. 

                                    (The quorum minimum to be met)

 

ARTICLE IV

 

Section 1:        NUMBERS OF OFFICERS

 

The election of Officers of the Club shall include a President, Vice President, Director of Activities, Treasurer, Webmaster, and Secretary/Membership.

 

Section 2:        ELECTION OF OFFICERS

 

 Election of Officers shall be held at the annual meeting. All Officers shall be elected by a majority vote.

 

 

Section 3:        RESIGNATION OF OFFICERS

 

In the event that any of the aforementioned Officers shall resign or become unable to hold office before the end of their elected term, the President shall appoint a member to fill the vacancy of said term.

 

ARTICLE V

 

Section 1:        DUTIES OF PRESIDENT 

                                   

 The President shall preside at all meetings of the members and officers using Robert’s Rules of Order and shall perform the duties pertaining to this office. He or she may call special meetings under the provisions of Article III. He or she shall be the Chief Executive of the Club.

 

Section 2:        DUTIES OF VICE PRESIDENT

 

The Vice President shall fill the role of the President in the event of his/her absence at the Club meetings, events, etc. He/She may appoint another officer to assume that role if He/She is unable to do so.

 

Section 3:        DUTIES OF SECRETARY/MEMBERSHIP

 

The secretary shall attend all meetings of the members and shall record all minutes and votes in a book kept for that purpose and shall perform all duties incidental to this office, required by Law.  He or she shall insure minutes from each meeting, all adventures and gatherings of the Club are kept and posted on the Club’s official website.

 

            Section 4:        DUTIES OF TREASURER

 

 He or she shall have custody of the Clubs records, monies, debts and obligations belonging to the Club. They shall receive all monies of the Club and deposit same in to the Clubs accounts and make all

payments of Club debts upon approval of the President or by a majority vote. The signature of the Treasure and the President are required on all Club checks.

 

Section 5:        DUTIES OF WEBMASTER

 

 The Webmaster shall establish and maintain the Clubs website in a timely manner and as directed by the Clubs officers. 

 

            Section 6:        DIRECTOR OF ACTIVITIES 

 

Coordinate the Clubs activities. Establish monthly activities and insure they are posted on the Club’s official website. Solicit ideas from within the club membership. Examples are dinner trips, overnight trips, poker runs, picnics, etc.

 

 

ARTICLE VI

 

Section 1:        ACTIVITIES

 

 The activities of the Club shall consist of planned trips, social gatherings and events for Corvette owners and honorary members as planned and notified on the website and at each meeting.

 

ARTICLE VII

 

Section 1:        PERSONAL LIABILITY

 

All corporations extending credit to, contracting with or having any claims against the Club shall only look to the funds and property of the Club for payment of any such contract or claim or for payment

Of any debt, damage, judgment, or decree, or any other money that may be otherwise become due or payable to them from the Club. So that neither the members of the Club, present or future, shall be liable personally therefore.              

 

ARTICLE VIII

 

Section 1:        AMENDMENTS TO THE BYLAWS

 

 Any active member in good standing may by written proposal submitted to the Secretary propose an amendment to the Bylaws. Upon such proposal being made, copies thereof shall be presented at the next meeting. Voting shall be controlled by the same rules set forth in Article IV, relating to election of officers. If two thirds of the members qualified to vote, vote in favor of the proposal, the proposed

                                    amendment shall thereby be approved and adopted.
